Randall S. Schuler, Ibraiz Tarique, Susan E. Jackson Human Resource Management Issues in Cross-Border Alliances
The media often portray business organizations as warring enemies who define their own success by the demise of their competitors. Executives sometimes use similar imagery to motivate their "troops." What such images ignore are the strong interdependencies among business organizations and the degree to which cooperation results in mutual gains. Just as nations have discovered the benefits of economic cooperation, businesses have learned that success often depends on forming strategic alliances.

Elżbieta Kolasińska Selected Personnel Problems in Processes Involving the Merger of Companies

The purpose of this article is to demonstrate the importance of the role played by the idea of integrated human resource management in merging companies. The article calls attention to the need for changing the paradigms of human resource management in mergers and analyzes functions such as staff planning, professional selection, and employee development and motivation from the point of view of general company merger strategy. Also discussed is the role played by communications and organizational culture in the process of integrating companies.

Krzysztof Walczak The Impact of Business Mergers and Takeovers on Employment - Selected Topics

The comments presented in this article obviously do not exhaust the whole of the subject matter. What remains is the broad sphere of collective labor relations that apart from the requirement that the provisions of collective labor agreements be observed for one year have, to date, not found their reflection in Polish legal standards. However, this in no way belittles the fact that, in general, Polish regulations are in line with the overall requirements of European law. Nevertheless, it will be court decisions issued on the basis of regulations in force as of January 1, 2004 that will show if this agreement is only formal in nature or if the standards have actually been introduced into business practice.

Andrzej Kozina Negotiations in Merger and Takeover Processes

This article encompasses problems appearing at the tangent point of two traditional areas of contemporary management theory and practice-commercial negotiations as well as mergers and takeovers of companies. The objective of the article is to present the most important questions in the realm of negotiations in the merger and takeover process making up an important element in complex integrational ventures (transactions). It should be stressed that to date no comprehensive and cohesive model for such negotiations encompassing solutions for all fragmentary problems and capable of serving as a useful tool in economic practice has been developed.

Janusz Pawłowski  Motives Behind the Undertaking of Privatization in the Context of Managerial Takeovers

Ownership transformations are a basic form of structural transformation in the Polish economy. The aim of this article is to identify the structures of participants interested in taking over the property of privatized companies and the motives and objectives that guide them in actively molding the forms and conditions of privatization. Of particular importance is the role and the motives of "insiders" in the direct privatization path, which may be considered the main mechanism for managerial takeovers of various types made under Polish conditions.
